Terms of Service

These terms apply to your use of the PRO INVENTOR software (“the Software”) provided by Pro Procurement LLC (“we”, “us”). By installing or using the Software you agree to them.

1. Free trial

New installations include a 14-day free trial with all features. After the trial, a paid subscription is required to continue using the Software.

2. Licence

We grant you a non-exclusive, non-transferable licence to use the Software on the number of computers your plan allows (one PC for Monthly and Yearly plans, five PCs for Business plans) while your subscription is active. The Software is licensed, not sold.

3. Subscriptions and payment

Card subscriptions are sold through Lemon Squeezy, which acts as reseller and merchant of record and handles billing, taxes and invoices. Subscriptions renew automatically at the end of each period until cancelled. You can cancel at any time; access continues until the end of the period you have paid for. Bank-transfer licences are issued for the period paid and are renewed by a new payment.

4. Restrictions

You may not copy, resell, sublicense, reverse engineer, or bypass or share the licensing of the Software, except where such restrictions are prohibited by law.

5. Planning estimates

Reorder points, safety stock, order quantities, dates and AI answers are estimates calculated from the data you provide. You are responsible for reviewing them before making purchasing or business decisions.

6. Third-party software

The optional AI assistant uses the Ollama app and AI models, which are separate products under their own licences. The Software includes open-source components under their respective licences.

7. Warranty and liability

The Software is provided “as is” without warranties of any kind, to the extent permitted by law. We are not liable for indirect or consequential losses, including stock-outs, excess inventory or lost profits. Our total liability is limited to the fees you paid for the Software in the 12 months before the claim.

8. Changes and updates

We may update the Software and these terms. Continued use after an update means you accept the updated terms.

9. Governing law

These terms are governed by the laws of the United Arab Emirates.
